This Maintenance Agreement (this “Agreement”) is made effective between , WP Site Defenders, and you, hereafter referred to as “The Client”. WHEREAS, WP Site Defenders, possesses technical expertise in the implementation and use of the open source software known as WordPress and WHEREAS, The Client desires to engage WP Site Defenders, accepts the engagement, to maintain their WordPress CMS web site in accordance with terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Client and, WP Site Defenders, agree as follows:

This agreement is in effect as of Feb 08, 2016.

We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment and agreement of the modified terms and conditions.

RETENTION OF DEVELOPER

The Client hereby retains the services of Developer for the maintenance of a WordPress based website on Client’s account on an Internet Service Provider (ISP)/Web Presence Provider (WPP) computer (Hosting Service). The Client offers to provide information needed to maintain the software such as administration logins, FTP access and if necessary, access to the Hosting Service.

DESCRIPTION OF SERVICES

WP Site Defenders will provide the following services connected with the development of the Website (collectively, the “Services”): WordPress Maintenance including the following:

  • Keep WP core application up to date.
  • Keep all WP plugins up to date.
  • Keep framework and theme up to date (where applicable)
  • Install necessary WP patches
  • Clean post revisions
  • Clean table overhead
  • Clean spam comments
  • Install anti-hacking scripts and techniques to discourage and resist hacking attempts.
  • Backup of files and database to an offsite, cloud hosted, storage facility.

When possible, and not hindered by additional unforeseen circumstances, services will also include: • Scan and fix any broken links

  • Scan and clean any malware injections
  • Take care of any necessary redirects

The Client hereby understands that theme updates are only applicable if the theme is a child theme. Custom theme’s not built as a child of a framework, may not be eligible for updates. Upon examination of the WordPress install, Client will be notified if the theme cannot be updated.

In addition to themes, some third party plugins may not be compatible with particular releases of WordPress provided by wordpress.org. WP Site Defenders will do its best to create a workable solution, but Client understands that compatibility issues, in some cases, may be considered out of scope of standard maintenance. Client also understands that the agreement is only for maintenance of WordPress, and not for website enhancements, nor non-update related changes. The scope of work also only includes WordPress, and not any other CMS, or hard coded software or pages not bound by the WordPress CMS.

PAYMENT FOR SERVICES

In consideration of the services to be performed by WP Site Defenders, the Client agrees to compensate WP Site Defenders for the services rendered based on a pre-agreed upon price.

Any additional services not specified in Description of Services, above, will be charged to at an hourly rate basis at the standard hourly rate of $95.00 per hour. No additional services will be performed without email or written consent of the Client.

TERMINATION OF USE

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.

SERVICE CANCELLATION

You may cancel a plan with us at any time provided that all payments are up-to-date. Should you decide to cancel this, you acknowledge that no refunds will be given on amounts you’ve already paid. You also authorize us to charge your credit card or other payment method for any payments that remain outstanding.

We reserve the right to cancel this agreement at any time, for any reason, at any time. Should we decide to cancel service, we’ll send you a cancellation notice either electronically or in writing. We’ll send this notice to the physical or email address we have on record.

CONFIDENTIALITY

WP Site Defenders will not at any time or in any manner, either directly or indirectly, use for the personal benefit, or divulge, disclose, or communicate in any manner any information that is proprietary to the Client will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, WP Site Defenders will remove all passwords, account access, and information acquired during the term of this Agreement.

EMPLOYEES

Employees, contracted or otherwise, who perform services for WP Site Defenders under this Agreement shall also be bound by the provisions of this Agreement.

INDEMNIFICATION

The Client agrees to indemnify and hold harmless WP Site Defenders, and it’s employees and/or contractors from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against WP Site Defenders that result from the acts or omissions.

This includes, but is not limited to, server or software “downtime”, or issues that are out of the control of WP Site Defenders, including hosting, domain registration, outages, hacking, or server failure.

ENTIRE AGREEMENT

This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.

SEVERABILITY

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
